Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Planory.ai (the “Service”) operated by Planory.ai (“we,” “our,” or “us”). By using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of the Service

Planory.ai is a free, AI-powered assignment planning tool for students. It generates phase-by-phase study schedules, provides an AI assistant to help you work through assignments, and allows you to upload assignment briefs for automatic analysis. No account is required.

2. Eligibility

You may use the Service if you are at least 13 years old, or if you are under 13, with verifiable parental or guardian consent. By using the Service, you represent that you meet these requirements. Users under 18 should review these Terms with a parent or guardian.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to generate content intended to deceive academic institutions in violation of their academic integrity policies
• Upload files containing illegal, harmful, defamatory, or infringing content
• Attempt to reverse-engineer, scrape, or systematically extract data from the Service
• Interfere with or disrupt the Service or its infrastructure
• Use automated tools to access the Service at a rate that places an unreasonable load on our systems
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service in any way that violates applicable local, national, or international law

4. Academic Integrity

Planory.ai is designed to help students plan their work — not to complete assignments for them. The AI assistant provides outlines, source suggestions, structural guidance, and partial drafts to help you get started and stay on track.

You are solely responsible for ensuring that your use of the Service complies with the academic integrity policies of your institution. Planory.ai accepts no liability for academic misconduct arising from misuse of the Service.

5. Free Tier and Limits

The core planning and AI assistant features are free with no account required. File scanning is limited to 2 uploads per 10-hour window per device. We reserve the right to modify, suspend, or discontinue any free feature at any time without notice.

6. Pro Subscriptions

If you purchase a Pro subscription, additional terms apply:

• Subscriptions are billed monthly or annually via Stripe
• You may cancel at any time; access continues until the end of the current billing period
• We do not offer refunds for partial billing periods unless required by applicable law
• We reserve the right to change subscription pricing with at least 30 days' notice

7. Intellectual Property

The Service, including its design, code, branding, and content, is owned by Planory.ai and protected by applicable intellectual property laws. You may not copy, reproduce, or distribute any part of the Service without our express written permission.

Content you input into the Service (assignment titles, uploaded files, messages) remains yours. You grant us a limited, non-exclusive licence to process that content solely to provide the Service to you.

8. Third-Party Services

The Service relies on third-party providers including Anthropic (AI processing), Vercel (hosting), and Stripe (payments). Your use of the Service is also subject to those providers' terms of service and privacy policies. We are not responsible for the acts or omissions of third-party providers.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) AI-generated content will be accurate, complete, or suitable for your specific assignment; or (c) the Service will meet your academic requirements.

AI-generated study plans and assistant responses are provided for guidance only. Always verify information independently and consult your course materials and instructors.

10. Limitation of Liability

To the fullest extent permitted by applicable law, Planory.ai and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of grades, academic standing, data, or profits, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months prior to the claim, or (b) $10 CAD.

11. Indemnification

You agree to indemnify and hold harmless Planory.ai and its operators from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Modifications to the Service and Terms

We reserve the right to modify or discontinue the Service at any time. We may also update these Terms at any time by posting the revised version with an updated effective date. Continued use of the Service after changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
